Eki Market Place Terms of Use, Privacy and Payment Policies
Welcome to Eki Market Place (“Eki”, “we,” or “us”). These Terms and Policies apply to all users of the Eki platform, including both vendors (sellers) and customers (buyers). By accessing or using Eki’s website or services, you (the user) agree to be bound by the following terms and conditions. Please read them carefully to understand your rights and obligations. If you do not agree, you must discontinue use of the platform.
Our policies align with international best practices for online marketplaces to ensure a fair, safe, and transparent experience for all users. They are governed by the laws of Rwanda (see Dispute Resolution below) but are designed to meet or exceed global e-commerce standards.
The key sections of our policies are:
● Terms of Use – Rules for using the platform (eligibility, responsibilities, prohibited content, intellectual property, account suspension, liability limitations, etc.).
● Privacy Policy – How we collect, use, share, and protect personal data, including user rights (aligned with GDPR and similar laws).
● Payment Policy – Rules for payment methods, responsibilities in transactions, and liability regarding payments (including off-platform payments and taxes).
● Advertisement and Listing Policy – Guidelines for product/service listings and ads (accuracy, prohibited products, content standards, and our rights to remove listings).
● General Compliance and Security – Additional terms on anti-fraud measures, identity verification, user conduct, enforcement rights, and how we update these policies.

1. Terms of Use
1.1 Eligibility
Eki Market Place is intended only for users who are 18 years of age or older. By registering an account or using the platform, you represent and warrant that you are at least 18 years old. We do not knowingly permit children or minors to use Eki. If we discover or have reason to believe that a user is under 18, we reserve the right to suspend or terminate that user’s account immediately and remove any content they have posted. Parents or guardians are responsible for supervising the online activities of their minor children.
1.2 Account Creation and Management
To buy or sell on Eki, you must create an account with accurate and complete information. Vendors must provide true and up-to-date contact information, business details (if applicable), and any other information we require for verification. Customers must also provide accurate personal information for orders and comply with any account verification steps. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any breach of security. Each user is generally allowed one account (or one vendor account per business); you may not create multiple accounts to bypass restrictions or for deceptive purposes. We may require identity verification or additional documentation at any time to confirm your eligibility or credentials, especially for vendors (see General Compliance and Security).
By using our site, you agree to keep your account information updated and to use the account only for legitimate transactions on Eki. You must not impersonate any person or entity or misrepresent your identity or affiliation in your account profile. Accounts are non-transferable you may not sell or transfer your Eki account to any other person without our prior written consent.
1.3 Vendor and Customer Responsibilities
Vendor Responsibilities: If you sell products or services on Eki, you are an independent seller and fully responsible for complying with all applicable laws and regulations related to your listings and sales. Vendors must ensure that the products/services they offer are legitimate, safe, and as described. This includes, but is not limited to:
● Accurately describing items or services, including all relevant details, price, quality, and any terms of sale or service. You must truthfully represent the condition, features, and availability of your products – no bait-and-switch or false advertising is allowed. Misleading or deceptive listings are strictly prohibited. You are responsible for any promises or offers you make to customers in your listings or communications.
● Fulfilling orders promptly and as agreed. Vendors should process orders, ship products, or deliver services within the stated timeframes. Any unavoidable delays or issues should be communicated to the buyer. Failing to fulfill orders or unreasonably delaying fulfillment without buyer consent can result in disputes or account action.
● Quality and safety of the products: Vendors must ensure items are safe, not defective (unless clearly sold as such with disclosure), and comply with relevant quality or safety standards. Any product recalls or known safety issues must be disclosed, and such items should generally not be sold. You must not sell any product that could cause harm when used as intended (or in a reasonably foreseeable manner) unless it is legal and all required warnings and instructions are provided.
● Handling customer service, returns, and refunds for their sales in accordance with any commitments you make and applicable law. (Eki may provide a platform for communication or may assist in dispute resolution in some cases, but the primary responsibility lies with the vendor to resolve issues with their customers.) Each vendor should outline their return/refund policy in their listings or profile if applicable. If a customer is entitled to a refund or return under law or your policy, you must honor it.
● Payment obligations: Vendors are responsible for selecting accepted payment methods (see Payment Policy) and for any payment issues that arise from the methods they choose. Vendors must also pay any applicable fees to Eki (if any platform fees or commissions apply; none may be charged for basic use unless separately agreed) and are responsible for their own taxes (see Payment Policy – Tax Responsibility).
● Legal compliance: Vendors must ensure that offering or selling their products/services through Eki does not violate any laws, including export/import regulations, sanctions, consumer protection laws, intellectual property laws, or any required licenses/permits. If your product or service is regulated (for example, certain financial services, health products, etc.), you are responsible for complying with regulatory requirements.
● Vendor content: Vendors are solely responsible for all content they upload or post on Eki (product descriptions, images, etc.). You must have the rights to use any content (text, images, trademarks, etc.) that you include in your listings, and it must not infringe anyone else’s intellectual property rights(see Intellectual Property section below). Any
violation of these responsibilities can result in content removal, account suspension, or other consequences.
Customer Responsibilities: If you purchase or use services via Eki, you agree to use the platform and engage with sellers honestly and in good faith. Customers must provide accurate information for orders (such as shipping address, contact info) and pay for items or services they commit to purchase in a timely manner using the method agreed. Once you have purchased an item or service, you are entering into a contract with the vendor; ensure you understand the listing and terms before buying. If you have any conditions or questions, communicate with the vendor before completing the transaction.
Customers also agree to comply with all applicable laws when using Eki. You may not use purchased items in an illegal manner or engage in fraudulent activities such as using stolen payment information. If a dispute arises with a vendor, customers should attempt to resolve it directly with the vendor first. Eki may step in to mediate disputes at our discretion, especially if the transaction used an official Eki payment/escrow service (see Payment Policy), but we do not
guarantee resolution. Customers should also respect vendors’ stated store policies (e.g., return windows or warranties) as long as they are consistent with our policies and the law.
Both vendors and customers agree not to engage in any behavior that would harm other users or the integrity of the platform. This includes harassment, abusive language, discrimination, or “doxing” (revealing personal info) in messages or reviews. Treat all parties with respect and abide by our User Conduct rules (below).
1.4 Content Standards and Prohibited Activities
Eki strives to maintain a safe and trustworthy marketplace. All content and activities on the platform must comply with these standards:
Prohibited Products and Services: Vendors may not list or sell any products or services that are illegal, regulated, or against our policies. This includes, but is not limited to:
● Illegal or stolen goods: Any item whose sale or distribution is prohibited by law or that you do not have the right to sell. For example, illicit drugs, controlled substances, stolen property, or items obtained by fraud are strictly banned. The sale of wildlife or endangered species parts, human organs, or other illicit trade is also prohibited. We comply with global efforts to prevent trafficking in illegal goods.
● Counterfeit or infringing items: Counterfeit products are strictly forbidden on Eki Market Place. A counterfeit is an inauthentic or fake product intended to appear genuine (for example, knock-offs of branded goods). Likewise, any product that infringes intellectual property rights (such as pirated media, unlicensed replicas, or trademark-infringing merchandise) is prohibited. Eki reserves the right to immediately remove any listing it believes to be counterfeit or infringing and to take further action such as terminating the seller’s account. Selling counterfeit goods is illegal in most countries and
can expose you to legal liability. Vendors must only sell authentic products and should be prepared to provide proof of authenticity or ownership if requested.
● Unsafe or hazardous items: Products that pose an unreasonable risk to consumer safety or that are subject to recalls or bans (e.g., toys with lead paint, electronics with faulty batteries prone to catching fire, etc.) cannot be sold. We follow consumer protection standards that require marketplaces to protect users from unsafe goods. Any item that does not meet required safety standards or certifications (for example, electronics without proper electrical certifications in relevant countries) may be removed.Similarly, you may not sell explosives, firearms or ammunition (unless specifically allowed by law and by Eki in designated categories with proper controls), nor fireworks, hazardous chemicals, or other dangerous
materials.
● Illegal services or activities: Services that involve illegal activity, encourage illegal behavior, or pose risks to personal safety are banned. For instance, services involving hacking, illicit surveillance, counterfeit documents, or any form of exploitation are not allowed.
● Adult content and offensive materials: Pornography or sexually explicit content is not allowed. Erotic materials that are legal may be permitted in some cases if appropriately categorized and restricted, but must not be obscene or exploitative (and never involving minors). Any content that sexually exploits children or minors is absolutely forbidden and will be reported to law enforcement. Additionally, listings should not include graphic violence, gore, or other highly objectionable content outside of a legitimate context (for example, a historical artifact with violent imagery must be described carefully and
appropriately).
● Hate or incitement: Eki prohibits content that promotes hatred, violence, or discrimination against any person or group based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic. Listings or user
content (including usernames, store names, or images) containing slurs, symbols of hate groups, or calls for violence are not allowed. We maintain a zero-tolerance policy for hate speech and extremist material.
● Spam, scams, and malware: Users may not post unsolicited advertising unrelated to the marketplace or repeatedly post duplicative listings (“spam”). Any attempt to scam users (such as pyramid schemes, get-rich-quick schemes, or deceptive business opportunities) is forbidden. You must not upload any software or files that contain viruses, Trojan horses, spyware, or any malicious code. Phishing for other users’ information or directing users to external sites that are malicious is prohibited.
● Impersonation and false information: Do not impersonate any other person or entity, or falsely claim endorsements or affiliation. You also must not forge headers or manipulate identifiers to disguise the origin of any content. Users are solely responsible for content they post, and must not intentionally obscure or alter information to hide its source (for example, by spoofing email addresses or using fake profiles).
This is not an exhaustive list. Eki reserves the right to remove any listing or content that we, in our sole discretion, deem inappropriate or harmful, even if not explicitly listed here. We also may refuse or terminate service to users who engage in any prohibited activities or violate these standards.
User Conduct: In addition to content rules, all users must behave in a manner that ensures a safe and respectful marketplace. You agree not to harass, threaten, or abuse other users. This includes refraining from hate speech, slurs, personal attacks, or encouraging others to commit violence or self-harm. You must not stalk or cyber-bully any member of the community. If you communicate with other users via our platform (e.g., messaging a seller or buyer), you must not send obscene material, spam, or solicitations unrelated to a legitimate transaction.
You also agree not to interfere with or disrupt the platform’s operation. Prohibited technical activities include attempting to hack the site, scrape data in violation of our policies, inject malicious code, or bypass any security measures. Any form of fraud (such as using stolen credit cards, engaging in identity theft, falsifying transaction information, or making false claims) is strictly forbidden and could result in legal action in addition to account termination.
Monitoring and Enforcement: While Eki is not liable for user-generated content, we do monitor the platform for violations and reserve the right to take action. We may remove or modify any content that violates these standards or is otherwise objectionable, with or without notice to the user. We may also disable or restrict user accounts as needed to enforce these policies. Eki has the right (but not the obligation) to monitor communications and content on the platform to detect fraud, spam, or other policy breaches. By using Eki, you consent to such monitoring as necessary for these purposes. If you witness content or behavior that violates these policies, please report it to us via the provided channels.
1.5 Intellectual Property and Licensing
User Content License: When you upload, post, or submit content to Eki (for example, product photos, descriptions, logos, or reviews), you retain ownership of your content. However, you grant Eki a non-exclusive, worldwide, royalty-free license to use, host, reproduce, modify, publish, and display that content as needed to operate and promote the marketplace. This license is for the limited purpose of running the platform (e.g., displaying your listings to buyers, cropping/resizing images for thumbnails, using excerpts in promotions of the marketplace, etc.).
We will not claim ownership of your content, but you give us permission to use it for these purposes without additional compensation. This license lasts as long as your content is available on the platform and for a reasonable time after (for example, if we maintain backup copies or if your listings were shared on social media by Eki). If you remove your content or
delete your account, we will cease active use of the content, but you acknowledge cached or backup copies might persist temporarily.
User Warranties for Content: You represent and warrant that you own or have the
necessary rights to all content you provide and that our use of your content in accordance with
these terms will not infringe or violate the rights of any third party. This means: you either own
the copyright (e.g., you took the photo yourself or wrote the description) or you have obtained
permission/license to use it. You also warrant that your content is accurate (not misleading) and
that it complies with all aspects of our Content Standards above. If you use someone else’s
trademarks (for example, mentioning a brand name in a product description), you must do so
truthfully and permissibly (e.g., to describe a genuine branded item you’re reselling). Any
unauthorized use of another’s trademarks or copyrighted material in your listings (such as using
a photographer’s image without permission, or selling fan art that infringes a famous character)
is a violation of these terms and may result in removal and penalties.
Platform Intellectual Property: The Eki platform itself (including our logos, design, software,
and aggregate content compilations) is protected by intellectual property laws. Eki (and its
licensors, if applicable) retain all rights, title, and interest in the platform’s content and services.
You are granted a limited, revocable license to use the site for its intended purpose (buying and
selling) but you may not reproduce, distribute, or create derivative works from our platform
materials without our permission In short, don’t steal or misuse Eki’s content: this includes
our text, images, code, or trademarks. For example, you may not use Eki’s name or logo in a
way that confuses consumers into thinking your products or site are affiliated with Eki without
authorization.

Copyright and Takedown Policy: Eki respects intellectual property rights
and expects users to do the same. If you believe a user’s content infringes
your copyright or trademark, you may submit a notice to us (see Contact
Information in Privacy Policy section). We comply with applicable laws
(such as the DMCA in the United States) regarding takedown of infringing content. We may
remove or disable content alleged to be infringing and, for repeat infringers, we reserve the right
to terminate accounts. Vendors should familiarize themselves with intellectual property laws,
as online marketplaces can be held accountable for IP violations if not addressed. We
encourage rights owners to report any suspected infringement and we will investigate promptly.
1.6 Suspension and Termination
Eki reserves the right to suspend or terminate your account at our discretion if you violate
these Terms or any policy, or if we suspect fraudulent, harmful, or illegal activity, or for any other
reason in order to protect our platform and users. We may do so with or without prior notice
depending on the circumstances.
Grounds for suspension/termination include (but are not limited to): listing prohibited content,
engaging in fraud or abusive behavior, repeatedly receiving customer complaints, failing to fulfill
orders, using multiple accounts to evade restrictions, intellectual property violations, or any
material breach of these policies. In serious cases (such as fraud, sale of illegal goods, threats,
or other unlawful acts), we may terminate your access immediately. In other cases, we may
send a warning or temporarily suspend your account pending investigation. Eki shall not be
liable for any losses you incur due to account suspension or termination, and you agree not to
attempt to circumvent a termination (for example, if we terminate your account, you should not
create a new one without our permission).
If your account is terminated, you must cease using Eki’s platform. Any pending transactions at
the time of termination may be canceled at our discretion (for example, orders not yet shipped
could be canceled and refunded to buyers), except for obligations that arose prior to termination
(vendors must still fulfill or refund any outstanding orders, and buyers must still pay for delivered
goods, etc., as appropriate). Sections of these policies that by their nature should survive
termination (such as intellectual property licenses, indemnification, limitation of liability, dispute
resolution) will remain in effect.

We also reserve the right to refuse service to anyone for any reason not
prohibited by law. This means we can decline to open an account or can
restrict access if we determine, for example, that doing so is necessary to
comply with legal requirements or protect our interests or other users.
However, we will act fairly and not terminate or refuse users in violation of any anti-
discrimination laws.
1.7 Dispute Resolution and Governing Law
Governing Law: These Terms of Use (and all other Eki policies) are governed by and
construed in accordance with the laws of the Republic of Rwanda. This choice of law is made
for consistency and because Eki is based in Rwanda. Even if you are accessing the platform
from outside Rwanda, Rwandan law will apply to any disputes arising between you and Eki
regarding the use of the platform and services. Setting a governing law is important for a global
platform to avoid confusion and ensure all users know which laws apply By using Eki, you agree
that the laws of Rwanda will govern any dispute, without regard to conflict of law principles.
Dispute Resolution Mechanism: In the event of any dispute, claim, or controversy arising out
of or relating to your use of Eki or these Terms (including the breach, termination, or validity
thereof), the parties should first attempt to resolve the issue amicably through customer
support or mediation. You can contact Eki’s support team to describe your issue, and we will
attempt to facilitate a resolution between you and the other party (vendor or customer) if
applicable. We pride ourselves on being a neutral venue connecting buyers and sellers, and
while we are not a party to transactions between users, we may assist in resolving certain
conflicts.
If a dispute cannot be resolved informally, it will be resolved exclusively through the courts or
tribunals of Rwanda, unless a different dispute resolution method is required by applicable
law. You agree to submit to the personal jurisdiction of Rwandan courts for litigating any such
disputes. Alternatively, Eki may elect to have the dispute resolved through binding arbitration
in Kigali, Rwanda, especially for disputes between Eki and a user (as opposed to between a
buyer and seller only). If arbitration is used, it will be conducted under Rwandan arbitration laws
and procedures, and the arbitrator’s decision will be final and binding on the parties, with limited
rights of appeal.

Consumers: Depending on your place of residence, you might have certain
legal rights to bring disputes in your local courts or under local consumer
protection laws. These terms do not override any rights you have under
mandatory law. However, to the extent permissible, you agree to the above
dispute resolution framework.
Class Action Waiver: To the extent allowed by law, all users agree that any disputes with Eki
will be resolved on an individual basis and not as part of a class, collective, or representative
action. You waive any right to participate in a class-action lawsuit or class-wide arbitration
against Eki.
Claims Against Other Users: Because Eki is a venue connecting third-party buyers and
sellers, if a buyer and seller have a dispute (for example, about a product’s condition or a
payment issue), Eki may facilitate communication or offer a dispute resolution channel, but
ultimately such disputes are between the buyer and seller. If you as a user have a claim against
another user, you may pursue it independently of Eki. Eki is not responsible for the actions or
products of third parties, but we do provide tools like the rating/review system and reporting
mechanisms to promote accountability. We encourage users to work out disagreements in good
faith, and to document everything (for example, use Eki’s messaging system so
communications are logged).
Notice of Dispute: Before initiating formal legal action, the party wishing to raise a dispute
should send a written Notice to the other party (and to Eki if the dispute involves Eki). If you
have a dispute with Eki, you must send a notice to our contact address (provided in the Privacy
Policy) describing the nature of the dispute and the desired resolution. We will do the same if we
have an issue with you. The goal is to allow 30 working days to negotiate or address the
concern before filing a lawsuit or arbitration.
1.8 Limitation of Liability
Use of Platform “As Is”: Eki provides the marketplace platform and services on an “as is” and
“as available” basis. While we strive to maintain a safe, secure, and functioning service, we
make no warranty or guarantee that the platform will be uninterrupted, error-free, or meet all
your expectations. To the fullest extent permitted by law, Eki disclaims any implied warranties of
merchantability, fitness for a particular purpose, and non-infringement regarding the service. For

example, we do not guarantee that using Eki will result in any sales for
vendors or satisfaction for buyers, nor do we guarantee continuous
availability of any specific feature.
Liability for Transactions: Because transactions on Eki are largely between independent
buyers and sellers, you understand that Eki is not responsible for the quality, safety,
legality, or accuracy of items sold, or the ability of sellers to sell or buyers to pay. Eki is not
the seller of record for any third-party vendor’s items; we are a facilitator or venue.
Accordingly, we will not be held liable for damages arising from transactions between users. For
instance, if a product you bought on Eki is defective or causes injury, the liability for any claim
lies with the vendor or manufacturer of that product, not Eki (unless Eki had some direct role
separate from just being a platform). This principle was affirmed in cases like Oberdorf v.
Amazon, where courts have treated online marketplaces as venues rather than sellers
responsible for product liability. While we require sellers to follow all safety and compliance
rules (and we may ban those who don’t), we cannot guarantee every item’s condition or that
every transaction will go perfectly.
Exclusion of Certain Damages: Under no circumstances will Eki (including our directors,
officers, employees, and agents) be liable to you for any indirect, incidental, special,
consequential, or punitive damages arising out of or in connection with your use of the
platform or these terms. This includes, for example, losses of profit, loss of data, loss of
goodwill, business interruption, or other intangible losses, even if we have been advised of the
possibility of such damages. Eki is not liable for any harm that results from your use of the site,
such as if you encounter malicious content from a third-party link, or if a buyer/seller with whom
you interact causes you harm. We also aren’t responsible for any damage caused by
technical issues, like if the site is down and you lose potential sales, or if a glitch in our system
affects your listing’s display.
Limitation on Amount: To the extent we are found liable, our maximum liability to any user
(whether customer or vendor) under these Terms is limited to the greater of: (a) the total fees (if
any) you have paid to Eki in the 12 months prior to the claim, or (b) $100 USD (or equivalent in
local currency). This limitation applies regardless of the form of action, whether in contract, tort,
statute, or any other legal theory. Some jurisdictions do not allow certain exclusions or
limitations, so some of these may not apply to you (for example, in the EU, liability for personal
injury or fraud cannot be excluded; in consumer contracts, certain implied warranties might

exist). In such cases, our liability will be limited to the maximum extent
permitted by applicable law.
No Warranty for User Content or Third-Party Actions: Any content
posted by users (including product descriptions, reviews, etc.) is the sole responsibility of the
user who provided it. Eki does not guarantee the accuracy or truth of any user content. Rely
on user content at your own risk. Additionally, any dealings you have with other users or third
parties (including payment providers or linked websites) are solely between you and that party.
We are not liable for any loss or claim you may have against a third party.
Release: You agree to release Eki from any claims or liability related to any products or
services sold or listed on our platform, or conduct of other users. If you have a dispute with one
or more users, you release us (and our affiliates and staff) from claims, demands and damages
(actual and consequential) of every kind, known and unknown, arising out of or connected with
such disputes. (Users in California, for example, waive California Civil Code 1542 which says a
general release doesn’t extend to unknown claims meaning you also waive rights to any
unknown or unsuspected claims against us arising from user disputes)
Specific Situations: Eki shall not be liable for any failure or delay in performing our obligations
if such failure or delay is due to circumstances beyond our reasonable control (force majeure
events like natural disasters, internet outages, governmental actions, etc.). Also note, we do not
provide insurance or guarantees on transactions unless explicitly offered (e.g., if we provide an
escrow service with a guarantee, that will be covered in the Payment Policy). In all other cases,
use of the platform is at your own risk.
Your statutory rights as a consumer are not affected. These limitations are intended to allocate
risk between you and us; the pricing (often free to use for basic features) of our platform reflects
this allocation. The limitations stated will apply even if any limited remedy fails for its essential
purpose.
2. Privacy Policy
Your privacy is important to us. This Privacy Policy explains what personal data Eki collects
from users, how we use and share that data, and the choices you have. We aim to comply with
global data protection standards, including the EU General Data Protection Regulation

(GDPR) and similar laws such as the California Consumer Privacy Act
(CCPA), among others. We handle personal information lawfully,
transparently, and securely, in accordance with applicable privacy
regulations. By using Eki, you agree to the collection and use of information
as described in this Privacy Policy.
2.1 Information We Collect
We collect several types of data from and about our users. This includes:
● Personal Identification Information: When you create an account or use our services,
we collect data such as your name, email address, phone number, physical address (for
shipping/billing), and age or date of birth (to verify eligibility). If you register as a vendor,
we may collect business information like your company name, tax identification number,
or business license details, as well as identity verification documents (e.g., a copy of a
government ID) as permitted by law.
● Account Credentials: We collect the username and password you choose for your
account (passwords are stored in an encrypted form).
● Profile and Listing Information: If you are a vendor, the content you upload about your
products or services (descriptions, images, prices, inventory, etc.) is stored by us. We
also keep profile information like your profile photo or biography if you choose to provide
them. For customers, any preferences, wishlists, or reviews you write are also stored.
● Payment Information: We may collect payment-related information depending on the
payment methods used. For customers, if you make a payment through an Eki-
supported method, we (or our payment processor) might collect your payment card
details, mobile money account, or other payment account information. For vendors, we
collect payout information (such as your bank account or mobile money number) to send
you proceeds of sales, and details of transactions for accounting. Note: For security, Eki
itself does not store full credit card numbers on our servers; we use accredited
payment gateways that handle that sensitive data. We may store tokens or references to
your payment instruments for convenience (e.g., to remember your card for future
purchases) in accordance with industry standards.

● Usage Data: We automatically collect information about how you
interact with Eki. This includes:
○ Device and Technical Data: e.g., your IP address, browser type, device type,
operating system, device identifiers, and software versions.
○ Log Data: When you access Eki, our servers record information (“log files”)

2.3 Data Sharing and Disclosure
Eki may need to share your information with certain third parties in the following
circumstances:
● Transaction-related Sharing (Between Users): In order to facilitate transactions, we
share relevant information between the buyer and seller involved. For example, when
you purchase an item, we will provide the vendor with your order details such as the
product ordered, your username and delivery address, and perhaps your contact
number for shipping updates. Similarly, a vendor’s profile information (store name,
location, and any public ratings) is visible to buyers. Vendors and customers should only
use this information for transaction fulfillment and not for unsolicited marketing or other
purposes outside the transaction. Our platform may mask direct email addresses by
providing an anonymized email relay for communications, but your basic contact details
for order delivery will be shared. This exchange is fundamental to the service – if you do
not want your contact info shared with the other party, do not place an order.
● Service Providers: We use third-party service providers to help run our business and
the platform, and we may share data with them under strict duties of confidentiality and
security. Examples include:
○ Payment Processors: When you make or receive payments, we rely on
payment gateway companies or banks (for credit card processing, mobile money
integration, etc.). We share necessary financial data with these providers to
process the transaction (e.g., we send the payment processor your card details

○ We may share information with government agencies or authorities if we suspect
and need to report unlawful activity (such as fraud, money laundering, threats, or
the sale of illegal goods). For example, if a seller is listing illegal items, we might
report their identity and listings to the appropriate authorities.
○ In the context of public safety, if we believe a user poses an imminent risk (e.g.,
credible threats of violence or self-harm), we may alert law enforcement or seek

clauses or transferring to jurisdictions with adequate protection). We similarly respect local data
transfer laws in other regions.
2.4 Data Security and Storage

Users also play a role: please keep your password confidential and use a unique

to comply with laws (tax, accounting, anti-fraud). For instance, we might keep invoice
and payment records for at least 5-7 years as per accounting rules.
● Content you have posted (like reviews or forum posts) may remain visible on the site
even after account deletion, but we can anonymize it (e.g., remove your name) upon
request, unless doing so would destroy context or we have a legitimate interest to keep it
identifiable.
● Backup copies of data might persist for a short time after deletion (e.g., a few weeks) in
our backup systems until those backups cycle out.
● We also retain data as needed to enforce our policies and for security. For example, if

2.5 User Rights and Choices
We respect your data protection rights and provide you with ways to exercise them, in line
with global standards like GDPR. These rights may include:
● Right to Access: You can request a copy of the personal data we hold about you. This
is commonly known as a “data subject access request.” We will provide you with a
summary of the information, and details on how it’s used, subject to some exceptions
(for example, we might not include data that also reveals information about another
person unless they consent, and we might not be able to provide data that is legally
privileged).
● Right to Rectification: If any of your information is inaccurate or incomplete, you have
the right to ask us to correct it. You can also make many changes yourself by logging
into your account settings (for instance, update your contact info or preferences). We
encourage you to keep your information up to date.
● Right to Deletion: Also known as the “right to be forgotten.” You may request that we
delete your personal data. We will honor such requests to the extent we are legally
permitted. Note that this right is not absolute – for example, we may retain data if
needed for legal obligations or if the data is necessary for the ongoing provision of our
services (you typically need to close your account to request full deletion). If you request

particularly where we process it based on legitimate interests or for direct marketing. For
instance, you can object to marketing emails (and we will then stop) or object to any
profiling we do for marketing. If you object to processing that is necessary for providing
the service (like anti-fraud checks), we will consider your request and whether we have
compelling grounds to continue; if not, we will cease the processing in question.
● Rights related to Automated Decision-Making: Eki’s processes might include some
automated decisions (e.g. automatic flagging of a suspicious transaction). You have the
right not to be subject to a decision based solely on automated processing that
significantly affects you, unless it is necessary for a contract, authorized by law, or with
your consent. In practice, if we ever use fully automated decisions with legal or similarly
significant effect, we will ensure you have an opportunity for human review or to contest
the decision.
● Right to Withdraw Consent: If we rely on your consent for any processing (such as
sending marketing communications in jurisdictions that require consent), you can
withdraw that consent at any time. For example, you can opt-out of email marketing by
clicking “unsubscribe” in our emails. Withdrawing consent will not affect the lawfulness of
processing that happened prior to the withdrawal.

share data for third parties’ direct marketing without consent). They also have CCPA rights like
knowing what info is collected, used, and disclosed, and the right to opt-out of “sale” of personal
info (we don’t sell your info as defined by CCPA). EU users have the rights as listed above
under GDPR. Rwandan users are protected under Rwanda’s data protection regulations
if/when enacted, and we align our practice to international standards.

2.7 International Users and Data Transfers
Eki operates globally, and by using the platform, you acknowledge that your personal data may
be transferred to and processed in countries other than your own. Our primary servers may
be in [Rwanda or specify other regions if applicable], but our service providers could be
worldwide. Some countries may have different data protection laws than your jurisdiction. When
we transfer data out of origin countries (for example, transferring EU user data to a server in
Africa or the US), we implement safeguards such as standard contractual clauses, reliance on
adequacy decisions, or other lawful measures to ensure personal data remains protected

cryptocurrency payments (such as Bitcoin, Ethereum, USDT) for their listings. Vendors
who opt for this must clearly indicate prices in the accepted crypto and handle any
volatility risk.
● Cash on Delivery (COD): For local transactions or where the vendor and buyer agree,
payment can be made in cash upon delivery or pickup of the item. This option should
only be used in safe, agreed-upon conditions.
● Eki Escrow or Protected Payment (if available): Eki may offer an official escrow
service or in-platform payment feature for certain transactions. If so, buyers can choose
to pay through Eki’s secure checkout, where the funds are held by Eki (or our payment
processor) and only released to the vendor when the buyer confirms receipt or after a
certain period. (More details on escrow below if applicable.)
Each listing should specify which payment methods are accepted. The buyer will select one of
the vendor’s offered methods during checkout or negotiation. If a buyer wants to use a

method not offered by the vendor, they must obtain the vendor's
consent (preferably through Eki’s messaging for documentation).
Keep in mind that some payment methods are inherently more secure than
others. We encourage the use of secure, traceable payment methods. Using Eki’s official
payment system (when available) or escrow provides more protection to both parties, whereas
off-platform direct payments carry more risk.
3.2 Payment Process Flow
The general flow for payments is as follows:
● Order Placement: A customer commits to buy an item/service by placing an order or
agreeing to a sale with a vendor. At checkout (or negotiation conclusion), the buyer
selects one of the vendor’s accepted payment methods.
● Payment Execution:
○ If the chosen method is one integrated on the Eki platform (for example, paying
by credit card via Eki’s checkout, or using Eki’s escrow system), the buyer will be
prompted to provide payment details and authorize the payment. Eki (through our
payment processor) will charge the buyer and either hold the funds in escrow or
prepare to remit to the vendor according to the terms (e.g., upon shipment
confirmation).
○ If the method is external (like direct bank transfer, cash, or crypto), the buyer and
vendor will receive instructions. For instance, the buyer might be shown the
vendor’s bank account or mobile money number and will need to manually
initiate the transfer. In such cases, the buyer should promptly send the payment
as agreed, and then mark the order as paid (or notify the vendor). The vendor is
responsible for checking their account to confirm receipt.
● Payment Confirmation: Vendors should confirm payment receipt as soon as they
receive funds (except in the case of escrow where Eki confirms automatically). If the
payment was through Eki’s system, it may show as “Paid” to the vendor in their

dashboard. If off-platform, the vendor can mark the order as paid
once they verify the incoming payment. We recommend buyers
keep any proof of payment (transaction receipt, screenshot) until
the transaction is completed.
● Shipping/Delivery: Once payment is confirmed (or if using COD, once order is placed,
knowing payment is due on delivery), the vendor should fulfill the order by shipping the
item or delivering the service. They must do so within the timeline they advertised.
Vendors should use trackable shipping methods when possible and upload tracking
information to Eki’s system (or communicate to buyers).
● Completion: If using escrow or Eki’s integrated payment, the buyer may have to confirm
receipt of the item/service. If the buyer doesn’t report any issue within a set period after
delivery (e.g., 3 days after tracking shows delivered), the payment is automatically
released to the vendor. If using off-platform payment, once the buyer receives the item,
the transaction is considered complete. Buyers and sellers are encouraged to leave
ratings/reviews about each other to build trust in the community.
Payment Fees: Any fees associated with a chosen payment method (e.g., bank transfer fees,
mobile money fees, crypto transaction fees) are generally the responsibility of the party sending
the payment, unless otherwise agreed. Eki might charge its own service fee or commission on
sales (if so, it will be clearly disclosed in vendor terms; for instance, a percentage of the sale or
a flat fee). If Eki charges a fee, we typically deduct it from the payment before remitting to the
vendor, or invoice the vendor for it. Vendors are advised to familiarize themselves with any such
fees. (At present, if not explicitly stated, assume Eki’s basic platform doesn’t charge listing or
selling fees, but this could change with notice.)
3.3 Off-Platform Payments and Liability
Transactions Outside Eki’s System: Eki is principally a platform connecting buyers and
sellers, but we do not handle the funds for transactions unless an official escrow or payment
gateway is used. If buyers and sellers choose to transact using payment methods outside
of Eki’s managed checkout (e.g., direct bank transfers, cash exchanges, or crypto sent

directly to a wallet), those transactions are considered “peer-to-peer”
between the parties. Eki is not a party to such payments and does not
assume liability for them.
This means that for off-platform payments, the buyer and seller bear the risk. For example:
● If a buyer sends money via bank transfer directly to a seller and the seller fails to deliver
the goods, the buyer must rely on the seller or legal avenues to get their money back;
Eki cannot guarantee a refund since we never held the funds.
● If a seller ships an item after receiving what they thought was a valid payment, and it
turns out to be a fraudulent or reversed payment (e.g., a fake transfer confirmation or a
bounced check), the seller might lose both the item and the payment. Eki is not
responsible for covering such losses.
We strongly recommend using secure and verified payment methods. If Eki offers an escrow
or payment protection service, consider using it for added safety. When payments are made
through our official channels, we can provide more assistance in case of disputes or fraud.
When you go outside, you are “on your own” to a larger extent. As one industry source notes, if
you pay outside the platform, you may be “powerless and simply at the mercy of the
vendor's whims” if something goes wrong.
No Liability Unless Escrow: Eki’s liability in transactions is limited as described in our Terms
of Use (Limitation of Liability section). To reiterate in context: Eki is not liable for losses,
fraud, chargebacks, or any payment disputes arising from payments that we do not
process. We do not provide protection if, for example, a buyer sends cash and the product
never arrives. Our platform may offer buyer protection programs only for certain payment
methods that are tracked (for instance, if our escrow is used, we might guarantee a refund if the
item not received under specific conditions). Absent that, buyers and sellers proceed at their
own risk.
Official Escrow Payments: If Eki provides an official escrow or payment system and you use
it, Eki’s role is to securely hold funds until the agreed conditions are met. In such cases, Eki has
a responsibility to follow the escrow terms e.g., releasing payment to seller upon proof of
delivery or issuing refund to buyer if item not delivered. Details of that service (like dispute
processes and timelines) will be provided in the escrow terms. When using escrow, Eki’s liability

is limited to the amount of the escrowed funds and as per the escrow
agreement. If an issue arises, both parties must follow Eki’s dispute
resolution process for escrow to determine where the funds go.
3.4 Payment Dispute Resolution
If a payment dispute occurs (for example, the buyer claims they paid but the seller says they
didn’t receive it, or the seller received payment but the buyer claims they canceled, etc.), the
following guidance applies:
● Proof of Payment: The burden is on the buyer to prove that payment was made in the
correct amount and to the correct account. Buyers should keep records: bank transfer
confirmation, mobile money SMS, crypto transaction hash, or receipts. Sellers should
also keep evidence of payment receipt or non-receipt (account statements, etc.). In a
dispute, Eki will likely ask for such documentation from both sides.
● Communication: First, buyer and seller should communicate directly (through Eki’s
messaging if possible, so it’s documented) to clarify the issue. Many disputes arise from
simple misunderstandings (like processing delays at a bank).
● Involving Eki: If direct communication fails, either party can escalate the issue to Eki’s
support. We will review the order details, the payment method, and any evidence
provided. However, remember, if the payment was off-platform, our ability to resolve it is
limited. We are not a bank or an arbitrator with subpoena power. We can try to mediate,
suggest solutions, and in cases of clear wrongdoing (like a seller obviously scamming
multiple buyers) we can suspend the offending party. But we cannot forcibly reverse a
bank transfer or retrieve cash given in person.
● Chargebacks: If a buyer paid via a method like credit card or PayPal and is unhappy,
they might initiate a chargeback or dispute with their financial institution. We urge buyers
to first try resolution through Eki and with the seller before taking this step. Chargebacks
can be abused and sellers can incur fees. If a chargeback is filed, Eki and the seller will
have to respond to the payment processor with evidence. If the chargeback is decided in
favor of the buyer, the funds are returned to the buyer and the seller is left without
payment (and possibly a fee). Eki reserves the right to collect reimbursement from the

seller if a chargeback occurs on a payment we facilitated and the
seller lost (meaning Eki had paid out the seller already). Sellers
should comply with our evidence requests to challenge unfair
chargebacks.
● Escrow Disputes: If using Eki’s escrow, disputes will be handled as per escrow rules.
Typically, the buyer might open a dispute claiming non-delivery or item not as described.
Eki will then review evidence (tracking info, product photos, messages) and make a
decision to either release funds to seller or refund buyer, or some split resolution. Both
parties are expected to cooperate in the investigation. The escrow dispute decision is
final and binding within the platform, though it does not waive any legal rights outside
(parties could still theoretically take the issue to court, but the escrow funds will have
been moved according to our decision).
● Scams and Fraud Reporting: If we find that one party engaged in fraud (e.g., fake
proof of payment, or a buyer falsely claiming non-receipt when they did receive the
item), we will take action including potential account termination and cooperating with
law enforcement. We encourage the honest party to also report to police if significant
money is involved. Eki will provide any necessary records to authorities if a crime is
being investigated, as legally appropriate.
Guidance for Buyers: Never send payments outside of Eki’s system to avoid fees or for a
“better deal” without understanding the risk. Never share financial account passwords or
OTPs. Be cautious of any seller asking for additional payments not agreed in the order (could
indicate a scam). If something feels off, pause and contact Eki support.
Guidance for Sellers: Verify you’ve truly received funds before shipping goods. For bank
transfers, log in to confirm (emails can be spoofed). For PayPal, ensure the payment is in your
account (not just an email saying so). For mobile money, check your wallet balance. If shipping
high-value items, consider waiting for funds to fully clear. Also beware of counterfeit currency in
COD transactions; meet in safe locations and count money carefully. We recommend sellers
keep transaction records and shipping proof to defend against any false claims.
3.5 Taxes and Compliance Responsibility

Vendor’s Tax Obligations: Each vendor on Eki is solely responsible for
determining, collecting, reporting, and remitting any taxes, duties, or other
governmental fees associated with their sales. This includes but is not
limited to:
● Sales Tax / VAT: If your sales are subject to sales tax, value-added tax (VAT), goods
and services tax (GST), or similar consumption taxes in any jurisdiction, you must
comply with those laws. Some regions require marketplace facilitators to collect tax on
behalf of sellers once certain thresholds are met. Eki will comply with any such laws if
they apply (and if so, we will inform you and possibly handle the tax collection). But in
absence of that, you need to include the applicable taxes in your item price or otherwise
charge the buyer and then remit it to the appropriate tax authority. Eki is not responsible
for calculating or adding sales tax for you unless we explicitly implement that feature.
● Income Tax: You are responsible for reporting your earnings from sales on Eki to your
local tax authority as required by law. Eki may provide a summary of your transactions or
issue certain tax forms if mandated (for example, a Form 1099-K in the US for high
volume sellers), but ultimately it’s your duty to include this income in your tax filings.
● Customs and Import/Export Duties: If you sell physical goods internationally, you
should be aware of customs declarations. Usually, the buyer is responsible for import
duties or customs fees on receiving goods across borders (especially if shipped via post
or courier, the carrier may require the recipient to pay duties). However, as a seller, you
must accurately fill out customs forms (declaring value, product type) and comply with
export laws. If you are selling from a country that has export restrictions (for example,
cultural artifacts or items requiring export licenses), you must follow those laws.
● Other Regulatory Compliance: If your product or service requires any license to offer
(e.g., selling alcohol might require a license; offering financial services might require
authorization), it’s on you to obtain and maintain those. Any sector-specific laws (like
electronic waste recycling fees, etc.) are the vendor’s duty to handle.

Eki does not provide tax or legal advice. We recommend vendors consult
with a tax professional to understand their obligations. Vendors should
price their items with any applicable taxes or fees in mind, since failing to
consider them could reduce your margin.
Marketplace Facilitator Laws: In some jurisdictions (such as many U.S. states, EU, etc.), laws
might consider Eki a “marketplace facilitator” required to collect and remit certain taxes on
behalf of sellers above certain volumes. If such laws apply, Eki will take on the responsibility for
those specific taxes (usually sales tax/VAT on the transaction) and we will let you know by
updating policies or notifying affected sellers. In such cases, sellers must not also collect those
taxes to avoid double taxation. But unless and until we announce that Eki is handling a certain
tax in your region, assume it’s your responsibility.
No Eki Liability for Vendor’s Taxes: Eki is not liable for any vendor’s failure to calculate or
remit taxes. If a tax authority pursues Eki for unpaid taxes from your sales, we will seek
indemnification from you (meaning you’ll be responsible to pay those amounts or any penalties
incurred). We strongly urge compliance to avoid such scenarios.
Buyer’s Responsibility for Taxes and Duties: Buyers are generally responsible for paying
any use tax, import tax, or customs duties related to their purchase. For example, if you import a
product, you might owe VAT/import tax to your country’s customs. That is not included in the Eki
checkout price unless explicitly stated. Buyers should educate themselves on any such charges
and understand that they may be billed by the courier or customs upon delivery. Refusal to pay
these could result in the item being returned or destroyed; in such cases, refund eligibility
depends on the seller's policy and the situation (likely minus shipping costs, etc.). Always check
if the price is tax-inclusive or not.
Compliance with Anti-Money Laundering (AML) and Financial Regulations: Users
(especially vendors) must ensure that the payment transactions are not used to facilitate money
laundering or other illicit financial activities. Eki may require identity verification or other checks
for large transactions to comply with AML laws. We may report suspicious transactions that
could indicate money laundering or fraud.
Record-Keeping: Both buyers and sellers should keep records of transactions for their
personal accounting or compliance needs. Vendors should keep receipts, invoices, and proof of

payment for tax filing. Eki’s platform may allow you to download your sales
history which can aid in this.
In summary, each party is accountable for their own tax and regulatory
compliance. Eki provides the marketplace but does not assume the vendor’s duties regarding
taxation and legal compliance of their business.
4. Advertisement and Listing Policy
Eki Market Place allows vendors to create listings for products and services and to advertise
offers on the platform. To maintain a fair and trustworthy marketplace, all listings and
advertisements must adhere to our guidelines. This section covers what is expected from
vendors when listing items, what content is prohibited or restricted, and Eki’s rights regarding
listings.
4.1 Listing Accuracy and Honesty
Truthful Descriptions: Vendors must ensure that every listing accurately describes the
product or service offered. This includes the title, description text, images, specifications,
condition, price, and any other details. Do not omit important information that a reasonable
buyer would want to know in order to make an informed decision. For example:
● If an item is used or refurbished, clearly state its condition (new, used, open-box, etc.)
and any defects or signs of wear.
● Include clear photos of the actual item (or a representative example if you have multiple
identical new items), not misleading stock photos that don’t match the product.
● Mention the size, dimensions, color, material, and other relevant attributes.
● If the purchase includes or excludes certain components (like “phone only, no charger”),
clarify that.
● For services, outline what exactly is included, the timeframe, location (if applicable), and
any prerequisites or limitations.

No False or Exaggerated Claims: Do not make promises or claims about
a product that you cannot back up. Avoid superlatives like “cures all
diseases” or “lasts forever” unless you have proof or it’s a generally accepted fact. If you
mention compatibility (e.g., “works with all phones”), be sure it’s true. Listings must not mislead
through visuals either; e.g., don’t Photoshop an image to make a product appear bigger or of
higher quality than it is.
Price Accuracy: The price stated on the listing should be the total price for the item (excluding
any taxes or shipping if those are calculated separately at checkout). Do not list an artificially
low price to attract attention only to add hidden charges later. If there are additional fees (like
delivery fee or installation fee), those must be clearly disclosed up front in the listing description.
Price gouging during emergencies (e.g., massively inflating prices of essential items during a
crisis) is against our fair use principles and may be restricted by law. We reserve the right to
remove listings with exorbitant prices that exploit situations unethically.
Inventory and Availability: Only list items you have in stock (or can manufacture/obtain in the
stated handling time) and intend to sell. If an item has limited quantity, manage your inventory
count properly on the platform. Don’t list the same unique item multiple times. If an item
becomes unavailable (out of stock, discontinued, or you sold it elsewhere), you must promptly
update or remove the listing. Selling things you cannot deliver will result in order cancellations,
unhappy customers, and possible account penalties.
Category and Keyword Use: Place your listing in the appropriate category provided by Eki
and use tags/keywords relevant to the item. Mis-categorizing or keyword spamming (using
unrelated popular terms to get more visibility) is prohibited. For instance, don’t put a smartphone
in the “Home Appliances” category or tag a dress with “iPhone” just to appear in more searches.
This behavior misleads buyers and hurts search accuracy. We may adjust categories of misfiled
listings or remove those abusing tags.
Compliance with Laws: As mentioned in Terms of Use and Payment Policy, all listings must
comply with applicable laws (consumer protection, product safety, etc.). Certain products might
require specific disclosures or certifications in the listing. For example, electronics should
mention electrical ratings if needed, cosmetics might need ingredient lists if required by law,
used items in some regions must be clearly marked as used, etc. Vendors are responsible for

including any legally required information in their listings. If a law requires
an age restriction notice (like “18+ to purchase”), include that in the
description.
Language and Clarity: Write listings in the language(s) supported by our platform (e.g.,
English, or local language if platform is multilingual). Avoid text in all caps (perceived as
shouting) or sloppy formatting that makes it hard to read. The tone can be sales-oriented but
must remain professional. You may not include personal contact info (email, phone) in public
listing descriptions to circumvent the platform (all communication/purchase should go through
Eki). We reserve the right to edit or remove listings with unreadable or irrelevant content.
4.2 Prohibited Content in Listings
All content in your listings (including titles, descriptions, images, and any attachments) must
adhere to our Content Standards (see Terms of Use 1.4) and must not include any prohibited
material. Specifically, in the context of listings:
● Illegal Products: You cannot list any item that is illegal to sell under any applicable law.
This includes (but is not limited to) narcotics and controlled substances, illicit drugs or
drug paraphernalia, stolen property, endangered wildlife or products made from such
(e.g., ivory), counterfeit currency or stamps, human remains or body parts, etc. Firearms,
ammunition, and explosive materials are generally prohibited unless explicitly allowed by
Eki in a controlled category (and even then, sellers must comply with strict regulations
and only within legal jurisdictions).
● Intellectual Property Infringements: No counterfeit, pirated, or unlicensed goods.
For example, fake designer apparel, bootleg DVDs, unauthorized copies of software, or
any product bearing a brand’s trademark without being made by or under license from
that brand are strictly forbidden. Similarly, you cannot use copyrighted images or text in
your listing that you don’t have the rights to use. If selling second-hand media (books,
movies), ensure they are original copies, not photocopies or burns. Selling “replicas”
that are essentially trademark counterfeits is banned. Eki supports brand owners and
law enforcement in taking down such items.

● Offensive Content: Listings must not contain pornography or
sexually explicit images (except if you are in a specifically allowed
adult category, and even then content must not be extreme or illegal
and must be appropriately tagged for adults only). No hate symbols,
insults, or derogatory language in item descriptions. A rare exception might be if you’re
selling a historical artifact that has an offensive symbol (like a WWII item with a
swastika) – in such cases, include it only if necessary and with appropriate context and
in categories allowed by law, but be aware that many such listings may be disallowed.
● Fraudulent Listings: Do not create listings for items you have no intention of delivering
or that don’t exist (“bait listings”). Also, multi-level marketing schemes, pyramid scheme
memberships, or “get rich quick” packages are not allowed. Any listing that is essentially
an advertisement for a separate scam or deceptive offer will be removed. For example, a
listing that says “Learn to make $1000/day, buy this guide” which is just a scam, is
prohibited.
● Medical and Health Claims: Be cautious listing medical devices, supplements, or
health-related products. You must comply with regulations (FDA in US, etc.). No listing
should promise miracle cures or involve prescription drugs (unless you are licensed to
dispense and it’s lawful via the platform, which typically it is not for prescriptions). Items
like over-the-counter meds or vitamins can be listed if legal, but you cannot make false
health claims. Any health or medical products must be genuine and not expired or
tampered with.
● Weapons: As noted, firearms and ammunition are mostly prohibited. Other weapons like
knives, tasers, pepper spray may be restricted or allowed depending on local laws; if
allowed, sellers must ensure buyers meet age requirements and the item is legal in the
buyer’s jurisdiction (e.g., certain knives are illegal in some areas). Absolutely no
explosives or dangerous chemicals.
● Recalls and Safety Hazards: Products that have been recalled by their manufacturer or
a government agency must not be sold unless properly repaired/certified safe (and even
then, probably avoid selling them). Any item known to be a safety hazard (hoverboards
with exploding batteries, for example, at the time of a known issue) should not be listed.

This is not exhaustive – Eki reserves the right to prohibit any item or content that we deem
inappropriate or high-risk even if not explicitly listed here. For clarity, we may publish and
update a separate “Prohibited Items List” – vendors are expected to review and comply with it.
We also follow global efforts to ensure marketplaces are not used to sell counterfeit, unsafe,
or stolen goods, as required by laws like the INFORM Consumers Act in the U.S.
If you are unsure whether your item is allowed, contact Eki support for guidance before listing.
4.3 Vendor Responsibility for Ad Content and Offers
When you list an item or create an advertisement on Eki, you are responsible for the content
of that listing or ad:
● Ownership of Content: You must either own or have rights to all text, images, and
other media you use in your listings. Don’t just grab photos from the internet (they might
be copyrighted). Ideally, use your own photos of the product. If you use manufacturer’s
images or descriptions, ensure they are authorized for resellers or in the public domain.
If a brand has an official product description, using it can be okay, but using a
competitor’s photos would not be. You agree that Eki can use your listing content for
promoting the marketplace (as per the IP license you grant us in Terms of Use).
● No Third-Party Ads or External Links: Your listing should only promote the item or
service you’re offering on Eki. You should not include advertisements for other websites,
businesses, or external listings. For example, do not say “Check out my store on
[another site] for more” or embed external links that direct buyers off Eki. We want

transactions to remain on the platform. (Some exceptions might be
allowed for necessary info, like a manufacturer’s official site link for
specs, but generally avoid external links that could be seen as
redirecting the sale).
● Consistency of Offer: The details and terms you advertise (price, quantity, quality, any
guarantees like “30-day return”) must be honored when a buyer accepts. You should not
significantly change the offer after a buyer shows interest. For instance, if you listed an
item at $50 and a buyer commits to buy, you cannot then say “actually it’s $60 now” or
“that price was only if you buy 2 pieces”. Similarly, any promotion (like “Buy one get one
free”) must be fulfilled as described.
● Specific Claims: If you make specific claims about a product (e.g., “waterproof up to
50m” or “certified organic”), you should be able to back them up, either through
documentation or generally accepted standards. Misrepresentation can lead to returns,
disputes, or worse, legal false advertising issues. If a buyer relies on a claim that turns
out false, you could be held accountable. So be truthful and substantiate your
statements.
● Compliance with Ad Guidelines: If Eki offers any advertising tools (like promoted
listings or banners), any content you submit for ads should comply with both this policy
and any ad guidelines we publish. Ads should be for active listings only and should not
be misleading. For example, if you’re running a promotion, don’t advertise “50% off
everything” unless indeed all your listings are half off.
Remember that your listings and behavior reflect on your reputation. Clear, honest, and well-
presented listings will lead to satisfied customers and positive reviews. Deceptive or sloppy ads
may boost short-term clicks but will harm trust and likely get removed.
4.4 No Misleading, Deceptive, or Discriminatory Listings
No Misleading or Deceptive Practices: Honesty is the expectation. Thus:

● Do not use “clickbait” titles or images that do not match the
actual item. For example, do not use a picture of a well-known
brand product to attract views if you are selling a generic product,
even if the generic is similar. Or listing something as “100% new”
when it’s refurbished.
● Don’t hide key terms in fine print. Important conditions should be prominent. E.g., if a

● Don’t manipulate search results in bad faith: This includes keyword stuffing (mentioned),
and also making duplicate listings of the same item to dominate search (we consider that
misleading to our search fairness). We may remove duplicates.
● If bundling items, be clear on what’s included to avoid misleading impressions.
● Disclosures: If a product might not be suitable for something obvious that buyers might
assume, disclose it (e.g., “not actual gold, gold-plated only” for jewelry, if applicable).
No Discrimination: Eki is open to all, and listings must not discriminate or encourage
discrimination against buyers. For goods, this is rarely a direct issue, but for services or rentals
etc., you cannot, for instance, say “Service only for [certain ethnicity]” or “We will not sell to
[religion] people”. That is strictly prohibited and often illegal. Even in communications, you
cannot refuse a sale or mistreat a buyer on the basis of protected characteristics such as race,
religion, gender, sexual orientation, national origin, etc. As a platform, we follow equal
opportunity principles. If we find any user practicing discrimination, their account will face action.
Accessibility and Universal Design: While not a strict requirement for all, we encourage
vendors to consider accessibility in product design and information (for example, if selling digital
content, ensuring it’s accessible to people with disabilities). Do not mislead about an item’s
accessibility features (like labeling something as “ADA compliant” when it’s not).
Competitive Fairness: Do not use malicious tactics like posting false listings to harm a
competitor, or fake overly low prices you won’t honor to undercut someone. Each vendor should

focus on their own listings. If you have an issue with another’s listing, report
it to Eki; don’t engage in a smear campaign or false advertising war.
4.5 Eki’s Rights to Remove Content or Ban Vendors
Eki reserves the right, at our sole discretion, to remove any listing, advertisement, or other
content that violates these policies or that we deem inappropriate or potentially harmful to the
platform or our users. This right is vital to maintaining the integrity of our marketplace.
Content Removal: We may remove or modify listings in several scenarios:
● If the listing violates any rules (illegal item, counterfeit, misleading content, etc.), it will be
removed. In many cases, we will notify the seller of the removal and the reason.
However, for egregious or clear violations, we might remove them immediately without
prior notice.
● If a rights owner reports an IP infringement (e.g., a brand files a complaint that a listing is
counterfeit or uses their trademark without permission), we may take it down to comply
with laws like DMCA or trademark laws. We typically would notify you and you can
counter-appeal if you believe it was a mistake.
● If a listing has attracted significant negative feedback or multiple complaints (e.g., buyers
say the item is not as described frequently), we might investigate and possibly unlist it
until the issue is resolved, to protect future buyers.
● We might remove listings that have long been unsold or inactive as part of
housekeeping, after reaching out to you, to keep the site’s inventory fresh.
● Eki can also hide listings from certain regions if needed for legal compliance (for
instance, if something is legal in one country but not another, we might geo-block it
rather than remove it entirely).
Account Suspension or Ban: We can suspend or terminate a vendor’s selling privileges
for serious or repeated violations Grounds for banning a vendor include (but are not limited to):

● Selling prohibited items deliberately.
● Repeatedly engaging in fraudulent or deceptive practices (like
consistently misrepresenting products or failing to fulfill orders).
● Accumulating a large number of unresolved disputes or chargebacks indicating poor
performance or possible scams.
● Harassing customers or Eki staff, or engaging in activity that undermines the safety of
the marketplace (like attempting to hack the site, or encouraging others to circumvent
rules).
● Non-payment of any fees owed to Eki, if any (for example, if there were listing fees or
commissions and a vendor refuses to pay).
● Legal issues: if law enforcement notifies us of illegal activity by a vendor through our
site, we will ban and cooperate as needed.
If your account is suspended, you may lose access to create new listings, and pending orders
may be canceled. We may hold any payouts until investigations are done. Banned users are
prohibited from creating new accounts – any attempt to circumvent a ban by creating a new
account or using someone else’s identity will be a further violation.
Right to Edit: In some cases, rather than removing entirely, Eki might edit a listing to correct
minor violations (for instance, remove a prohibited keyword from a title, or move it to correct
category). We might do this as a courtesy or efficiency measure, but the responsibility remains
on the vendor to follow rules. If we make significant edits, we’ll note it in the listing or notify you.
Notice and Appeals: We aim to be fair. If we remove content or suspend you, we often will
send a notice explaining why and possibly offering you a chance to respond or correct the issue.
If you believe we made an error, you can appeal by contacting us (explain why you think the
listing was compliant or how you’ve fixed it). We will review appeals in good faith, but our
decision thereafter is final. In some cases like obvious criminal activity, no appeal will be
entertained.

This includes automated filters and human review. By using Eki, you agree
that we have the right to monitor and review any content you post on our
platform. We may also buy items as a mystery shopper to verify
compliance (for instance, ensuring the item delivered matches the listing).
Our goal is not to police unnecessarily, but to ensure a safe, reliable marketplace for all. We
appreciate vendors who proactively comply and who cooperate if an issue arises. Enforcement
of policies is important to maintain trust – both buyers and sellers benefit from a marketplace
where rules are upheld.
5. General Compliance and Security Terms
Beyond the specific areas above, Eki expects all users to adhere to general standards of
conduct and security. This section outlines additional terms relating to fraud prevention, user
verification, platform monitoring, and how we update our policies.
5.1 Anti-Fraud and Identity Verification
Commitment to Prevent Fraud: Eki is dedicated to preventing fraudulent activities on the
platform – this protects both our business and our user community. We employ a variety of anti-
fraud measures, which users must not circumvent or interfere with.
These measures include transaction monitoring, data analysis, and sometimes direct verification
steps with users. For example, if we detect unusual account behavior (like a new seller
suddenly selling high-value items with overnight shipping to a different country, which might be
fraud), we may place a hold on transactions and contact the user for verification.
User Verification: Eki may require users (especially sellers, or buyers making large purchases)
to undergo identity verification (KYC). We might ask for government-issued ID copies, proof of
address, or other documentation to confirm you are who you claim. We may also verify business
credentials for vendors (like asking for a business registration or tax ID) if needed. This aligns
with global best practices and some legal requirements to deter fraud and ensure accountability

Two-Factor Authentication (2FA): We encourage (and may require) the
use of 2FA for account login to enhance security. This could be via SMS codes, authenticator
apps, etc. Users are expected to keep their account credentials safe and not share them. If you
suspect your account is compromised, notify us immediately and change your password.
Prohibited Fraudulent Acts: Users must not engage in or attempt any form of fraud on Eki,
including but not limited to:
● Payment fraud: using stolen credit cards, presenting fake payment proof, chargeback
abuse (buyers filing unjustified chargebacks to get free goods), etc.
● Identity fraud: creating accounts with someone else’s identity or stolen info, or multiple
accounts to game systems.
● Listing fraud: posting items you don’t have, or “drop shipping” from unauthorized sources
in a way that deceives buyers (drop shipping itself isn’t banned, but misrepresenting
origin or shipping times is).
● Feedback manipulation: not allowed to fabricate or buy fake reviews/ratings, or to
intimidate others for positive feedback.
● Any scheme to defraud Eki or its users, such as using bots to snag deals, collusion
between buyers and sellers to artificially inflate prices or launder money, etc.
We also forbid use of Eki for money laundering. Using item sales or payments as a front to
move money (with no actual item changing hands) is strictly monitored for and will be reported.
Large cash transactions or unusual patterns might draw scrutiny under AML protocols. As per
INFORM Act and other regulations, we verify identities for high-volume sellers to deter sales of
stolen, counterfeit, or unsafe items.

Legal Cooperation: Eki will work with law enforcement as necessary to
address fraud. If you commit fraud, you could face not only platform
penalties but also criminal charges. We log user activities and will comply
with lawful requests to share logs in fraud investigations.
User Responsibility: While Eki works to prevent fraud, users must also exercise caution. Keep
your devices secure from malware (which could steal your credentials). Avoid phishing attempts
(Eki will not ask for your password via email, for instance). Verify the legitimacy of deals – if
something is too good to be true, it might be a scam. Use our platform’s communication and
payment tools which have built-in protections, rather than going off-site at someone’s
suggestion.
By using Eki, you commit to ethical conduct. Any attempt to exploit the platform or other users
can result in immediate expulsion and legal action.
5.2 User Conduct Policy
We covered many aspects of conduct for buyers and sellers, but in general:
● Respect and Civility: Treat others on the platform with respect. Whether in messages,
forums (if any), or reviews, keep discourse civil. No harassment, hate speech, threats, or
personal attacks. We have users from diverse backgrounds; maintain professionalism.
Content that would be acceptable in a formal workplace is a good rule of thumb.
● No Spamming: Do not send bulk unsolicited messages to other users. Sellers, do not
message buyers offering unrelated products or try to poach them for external sites.
Buyers, don’t spam sellers with irrelevant questions or extreme lowball offers repeatedly.
Also, mass postings of listings or comments with repetitive content count as spam.
● Privacy of Others: If through a transaction you receive someone’s personal information
(like a shipping address or phone number), you must use it only for that transaction and
not misuse it. For example, a seller should not compile buyer addresses to send
marketing mail without consent. Similarly, users should not reveal private information of
others (no doxing or public posting of someone’s full name, contact, etc., without
permission).

● No Platform Circumvention: Do not attempt to conduct
transactions outside Eki to avoid fees or policies after finding each
other on Eki. For instance, if a buyer messages “Can I pay you
directly via PayPal to avoid tax/fee?” – both the buyer and seller
should refrain. Keeping trades on Eki ensures protections and fairness. Repeatedly
moving deals off-site undermines the platform and is grounds for account action. (We do
not monitor every message, but we do have automated scans for patterns like sharing
emails/phone in early communication, and may intervene with warnings.)
● Compliance with Platform Processes: Follow the rules for processes like dispute
resolution, returns, etc. If asked for info by support in a case, provide it timely. Don’t try
to “game” a dispute (e.g., a buyer returning an empty box instead of the item to get a
refund – that is fraudulent conduct).
● API/Automation: If you use any automation or scripts (for example, to manage
inventory or price changes via an API), ensure it doesn’t harm the site. Excessive API
calls or scraping not allowed. Only use official developer tools or APIs in line with their
terms. Do not attempt to use bots to auto-purchase items or flood listings.

messages, reviews) for compliance. While we don’t actively read every user message
(we respect privacy and usually only review if flagged), users should have no
expectation of absolute privacy for communications via our platform. By using Eki, you
agree that we can, in line with our Privacy Policy and law, scan or review content to
prevent abuse. For example, we might use automated tools to detect keywords related
to prohibited items or scam phrases in messages. We also monitor site usage via logs
for patterns (like one IP creating multiple accounts, etc.).
● Investigations: We reserve the right to investigate any suspected breaches of our
Terms or illegal behavior. This could involve temporarily freezing account actions,
interviewing parties, or requiring additional documentation.
● Enforcement Actions: If a user violates any policy, Eki can take actions including:
○ Warnings or temporary suspensions (for mild or first-time issues).
○ Permanent account termination (for severe or repeat issues).
○ Listing removals or category restrictions.
○ Holding or forfeiting funds (especially if connected to fraudulent transactions,
subject to applicable law).
○ Legal action, if necessary (civil claims for damages to our platform’s integrity, or
referrals to law enforcement for crimes).
● No Refund of Fees if Banned: If you are a vendor who paid any fees or had a
subscription (if applicable) and you get banned for wrongdoing, we typically will not
refund those fees – that’s a consequence of the breach.
