Privacy Policy and Global Terms of Use (Service Providers/customers) for Eki Place

Introduction
Welcome to Eki Digital (referred to as “Eki,” “we,” “us,” or “our”). Eki Digital is part of Eki Global Holdings Ltd., a company incorporated and headquartered in Kigali, Rwanda and operating globally. The platform operates under the domain www.eki.digital that connects individuals and businesses in need of local services (such as hair‑dressing,barbering,electrical repairs,plumbing and other services) with independent service providers who offer those services (collectively, “Service Providers”). Customers and visitors to the platform are
referred to as “Customers,” “users,” or “you.”
This document contains two sections:
1. Privacy Policy – explains how Eki collects, uses, shares and protects personal data. It
applies to all users of the platform. Global privacy laws like the EU General Data
Protection Regulation (GDPR) require organizations to provide privacy notices that are
concise, transparent and easily accessible describe what data is collected, the purposes
of processing and individuals’ rights

2. Terms of Use – governs the legal relationship between Eki, Service Providers and
Customers and sets out the rules for using the platform. Having a Terms of Use helps a
marketplace control its website, establish payment rules and limit legal liability. It also
contains a Non‑Circumvention Clause prohibiting users from bypassing the platform
to avoid paying fees; such clauses are commonly used to protect intermediaries from
being bypassed

By accessing, browsing or using the platform (including creating an account or booking
services), you acknowledge that you have read, understood and agree to be bound by this

Part 1 – Privacy Policy
1. Scope and Definitions
This Privacy Policy explains how we process personal data any information relating to an
identified or identifiable person. It covers personal data we collect through our website, mobile
applications, customer support channels, social media pages and other online or offline
offerings.
2. Data We Collect
We collect information directly from you, automatically when you use the platform, and from
third parties.
2.1 Information You Provide to Us
● Account and profile information. When you register as a Customer or Service
Provider, you provide your name, email address, phone number, password and, for
Service Providers, information about your business (e.g., qualifications, services offered,
pricing, availability and professional licences).

● Service details and transaction data. When you post a service request or accept a
booking, you provide details about the service (e.g., type of service, location, schedule,
special instructions), communications, ratings and reviews. We retain records of
transactions, including service descriptions, dates, amounts charged, payments and
commissions.

● Payment information. For Customers, we collect payment card details or other
payment identifiers. For Service Providers, we collect bank account information for
payouts. Payment processing is performed by third‑party processors; we only store a
tokenized representation, not full card details.

● Communications. When you contact Eki (e.g., through customer
support, surveys or feedback forms) we collect the contents of your
communications and any attachments. We may also record phone
calls for quality and training purposes where allowed by law.
2.2 Information We Collect Automatically
● Usage data. We collect information about your interactions with the platform, such as
pages visited, search history, bookings made, features used, date/time stamps, referral
URLs and user preferences.

● Device and technical data. We collect IP address, device identifiers, device type,
browser type/version, operating system and language settings.

● Location data. If you enable location services, we may collect geolocation data from
your device to show Service Providers near you or display your business location.

● Cookies and similar technologies. Like most online services, we use cookies and
other tracking technologies to remember your preferences, keep you signed in, improve
security and analyse usage. Some cookies are essential for the platform to function;
others are used for analytics or marketing. Global privacy regulations require that privacy
notices identify the cookies used and allow users to opt out where required.
2.3 Information from Third Parties
● Service Providers and Customers. Service Providers and Customers may share
information about each other, such as ratings, reviews or disputes.

● Payment processors and analytics partners. We receive limited information from our
payment processors (e.g., payment status) and analytics providers (e.g., aggregated
usage statistics).

● Publicly available sources. We may verify business licences or professional
credentials through public registers or third‑party services.

3. Purpose and Legal Bases of Processing
We process personal data for the following purposes and, where

4. How We Share Information
We do not sell your personal data. We may share your information in the following
circumstances:
● With Service Providers and Customers. We share necessary information between
Customers and Service Providers to facilitate bookings, such as names, service details,
addresses and phone numbers.

● Payment processors and financial institutions. We share payment information with
third‑party processors to process transactions, prevent fraud and comply with legal
requirements.
● Affiliates and business partners. We may share information with our subsidiaries,
affiliates or trusted partners who assist us in providing services (e.g., hosting, analytics,
marketing).

● Legal and regulatory authorities. We disclose information when required by law,
regulation, court order or governmental request, or to protect our rights, users or the
public.

● Business transfers. If Eki participates in a merger, acquisition or sale of assets, your
data may be transferred as part of that transaction. We will notify you of any change in
ownership or uses of your personal data.

5. International Transfers
Eki is a global platform and may process data outside your country of residence. When we
transfer personal data to another jurisdiction, we implement appropriate safeguards (such as
standard contractual clauses or equivalent measures) to ensure a level of protection consistent

with the GDPR and other applicable laws. By using our services, you
consent to the transfer of your information to countries that may have
different data protection laws than your country.
6. Data Retention
We retain personal data only as long as necessary for the purposes described above, including
to comply with legal, accounting or reporting requirements. In determining retention periods, we
consider the nature and sensitivity of the data, potential risk of harm from unauthorized use,
applicable legal requirements and our legitimate interests. For example:
● Account data are retained while your account is active and for a reasonable period
thereafter to allow reactivation, comply with tax laws and address disputes.

● Transaction records and communications are retained for the statutory limitation period
of potential claims.

● Location data and technical logs are typically retained for shorter periods, unless needed
to investigate issues or improve services.
7. Your Rights
Subject to the laws of your jurisdiction, you may have the following rights regarding your
personal data:
1. Access- obtain confirmation of whether we process your personal data and request a
copy.

2. Rectification – request correction of inaccurate or incomplete data.

3. Erasure – request deletion of your data where there is no lawful reason for us to
continue processing it.

4. Restriction – ask us to suspend processing of your data in certain circumstances.
5. Objection – object to processing based on legitimate interests or direct marketing.

7. Withdraw consent – where we rely on your consent (e.g., for
marketing), you may withdraw it at any time without affecting the lawfulness of
processing prior to withdrawal.

authority if you believe we have violated data protection laws.

8. Data Security
We implement appropriate technical and organizational measures to safeguard personal data
against unauthorized access, alteration, disclosure or destruction. These include encryption,
access controls, network monitoring and employee training. However, no method of
transmission or storage is completely secure; we cannot guarantee absolute security. Users
should keep their account credentials confidential and update passwords regularly.
9. Children’s Privacy
Eki is not intended for individuals under the age of 18. We do not knowingly collect or solicit
personal data from children. If we learn that a child has provided us with personal data, we will
delete it. Parents or guardians who believe their child has provided personal data should contact
us.
10. Changes to This Privacy Policy
We may update this Privacy Policy from time to time to reflect changes in laws, technology or
our practices. When we do, we will post the updated policy on our website and, if the changes
are material, provide notice (e.g., via email or prominent notice on our platform). The date of the
latest revision will appear at the top of the policy. Continued use of the platform after changes
take effect constitutes acceptance of the new policy.

Part 2 – Global Terms of Use
1. Acceptance of Terms
By accessing or using Eki Digital’s website, mobile applications or services (collectively, “the
Platform”), you agree to be bound by these Terms of Use (the “Terms”). These Terms apply
to Service Providers and Customers worldwide. If you are entering into these Terms on behalf
of an entity, you represent that you have authority to bind that entity. You must be at least 18
years old to use the Platform. If you do not agree to these Terms, you must not use the
Platform.
2. Description of Services
Eki provides a technology platform that enables Customers to request and book services from
independent Service Providers. We do not provide the services ourselves; we act solely as an
intermediary. An online marketplace serves as an intermediary between buyers and sellers and
the seller (i.e., Service Provider) remains responsible for fulfilling services. Eki is not a party to
the contract for services between Customers and Service Providers. We have no control over
the quality, safety or legality of the services offered, and we do not guarantee that a Service
Provider will complete a booking.
3. Account Registration

To use most features of the Platform, you must create an account. You
agree to:
1. Provide accurate, current and complete information during
registration and keep it updated.

2. Maintain the confidentiality of your password and restrict access to your account. You
are responsible for all activities that occur under your account.

3. Notify us immediately if you suspect unauthorized use of your account.

We reserve the right to refuse registration, suspend or terminate accounts at our sole discretion.
4. Service Provider Obligations
Service Providers represent and warrant that:
1. You have the legal right and necessary qualifications, licences, permits, insurance and
approvals required to provide your services in your jurisdiction.

2. You will provide services in a professional and workmanlike manner, consistent with
industry standards and local laws.

3. You will accurately describe your services, experience, pricing and availability and will
not misrepresent your identity or credentials.

4. You are solely responsible for determining whether your services are legal, appropriate
and safe.

5. You are an independent contractor and not an employee, agent or partner of Eki. Eki
does not supervise your work or guarantee a minimum number of bookings.

6. You will pay all taxes, levies, social security contributions and other amounts due on
payments received from Customers.

4.1 Category‑Specific Responsibilities
Depending on the type of service you offer, additional responsibilities
apply:
Car Rentals, Sales & Transportation. Service providers in this category must hold all
necessary business licences, permits and zoning approvals required by local and national laws
to operate a car rental or transport business; car rental businesses must obtain licences issued
by local authorities and may need zoning permits, which usually need to be renewed annually.
Providers must maintain adequate liability, collision and other insurance coverage for their
vehicles and operations. Vehicles must be roadworthy, comply with safety standards and be
properly registered, and providers must maintain fleet records (vehicle identification number,
model, license, depreciation and taxes) for tax reporting. Providers must verify that customers
meet minimum age and driver’s licence requirements and comply with all local regulations
governing transportation and cross‑border services.
Legal & Professional Business Services. Providers offering legal, accounting, consultancy
and other regulated professional services must hold the professional licences and certifications
required to practise in the jurisdiction where the service is provided. Occupational licensing laws
require a licence to pursue certain professions to protect the public. Examples of licensed
professions include lawyers, accountants, engineers, architects, nurses and real estate brokers.
Providers must stay in good standing with their professional regulatory bodies and meet any
continuing education or licence renewal requirements. They must provide services within the
scope of their licence, maintain confidentiality and professional ethics, and carry appropriate
professional liability insurance.
Restaurants, Food & Catering. Providers must possess valid food‑handling permits, health
department approvals and, where applicable, licences to serve alcohol. They must comply with
food safety laws, hygiene standards and labelling regulations, maintain kitchens and catering
equipment to local health department standards, ensure staff have requisite training (e.g., food
safety certificates) and maintain liability insurance for food‑related incidents.
Real Estate & Housing. Providers offering real estate or housing services must hold any
required licences (e.g., real estate broker, property manager) in the relevant jurisdiction. They
must comply with real estate laws, housing codes and fair housing regulations, ensure that

property listings are accurate and lawful, disclose material defects and
comply with rental, lease or sale laws.
Home & Domestic Services. This category includes housekeeping,
cleaning, cooking, laundry, home organization, moving assistance, gardening, landscaping, pet
care, child care, elder care, and home maintenance/repair. Providers must hold any necessary
business licences or registrations, comply with labour, health and safety laws, and carry liability
insurance. Providers offering child or elder care must meet local licensing and
background‑check requirements and maintain relevant certifications (e.g., first aid). They must
treat clients’ property with care and comply with labour regulations.
Personal Care, Lifestyle, Health & Wellness. This category includes hairdressing, barbering,
cosmetology, massage therapy, spa treatments, personal training, yoga instruction, nutrition
counselling and similar services. Providers must hold appropriate licences or certifications (such
as barber/cosmetology licences, massage therapy licences or fitness instructor certifications) as
required by local law. Licensing protects public health and safety. Providers must comply with
hygiene regulations, maintain clean equipment and facilities, and obtain liability insurance.
Those providing health or nutritional advice must clearly disclose the scope of their
qualifications and avoid practising medicine unless licensed.
Digital & Creative Services. Providers offering digital or creative services such as graphic
design, photography, videography, writing, editing, marketing, software development, web
design and content creation must ensure that they have the right to use and license all content,
and that their services do not infringe third‑party intellectual property rights. They must comply
with copyright and data protection laws and deliver services as described.
Skilled Trades & Technical Services. Providers performing carpentry, plumbing, electrical
work, HVAC, mechanical repair, welding, masonry, roofing, painting, tiling and similar trades
must hold relevant trade licences or certifications and comply with building codes, electrical
codes and safety regulations. They must obtain permits for work where required, perform
services safely and professionally, carry adequate liability and workers’ compensation
insurance, and provide warranties on workmanship where required by law.
Business registration and certification. All service providers regardless of category-must
have a business registration with the government or corporate registry of their country of
residence. Providers must supply proof of registration, licences, certifications and insurance to

Eki upon request. Failure to provide proof of compliance may result in
suspension or termination of the provider’s account.
Global trade compliance. Providers offering cross‑border services are
responsible for complying with international trade laws, export controls, sanctions and customs
requirements. They must obtain any necessary permits for cross‑border transportation or
services and ensure that their activities are lawful in both the origin and destination jurisdictions.
5. Customer Obligations
Customers agree to:
1. Provide accurate information when requesting a service (e.g., location, description of
work, desired schedule).

2. Confirm that you have the authority to request services at the location and will permit
Service Providers reasonable access.

3. Pay the agreed price, including any applicable taxes and fees.

4. Behave respectfully toward Service Providers and Eki staff and not engage in abusive,
discriminatory or illegal conduct.

5. Comply with all applicable laws and safety requirements.

6. Fees, Payments and Payouts
6.1 Platform Fees
Eki charges Service Providers a commission of 10 % of the total service price (exclusive of
taxes) for each completed transaction. This fee covers the cost of operating the platform,
marketing and customer support. It is automatically deducted from the payment received from
the Customer before funds are released to the Service Provider. For example, if a Customer
pays $100 for a service, Eki will deduct $10 as the platform fee and remit the remaining $90

(minus applicable transaction fees or taxes) to the Service Provider.
Disclosing fees helps avoid surprises and disputes.
Eki may change its commission rate or introduce additional fees upon
reasonable notice. Continued use of the Platform after a fee change constitutes acceptance.
6.2 Payment Processing
Payments are processed through third‑party payment processors. By providing payment
information, you authorize us and our payment processors to charge, deduct or hold funds in
accordance with these Terms. Service Providers acknowledge that Eki may place payment
holds if we suspect fraud or non‑compliance. Eki is not responsible for errors or delays caused
by payment processors.
6.3 Taxes
Service Providers are responsible for determining and paying any taxes (including VAT, GST,
sales tax, income tax or similar) arising from the services they provide. Where Eki is legally
required to collect or remit taxes on transactions, we will charge such amounts to Customers
and remit them to the appropriate authorities.
7. Non‑Circumvention and Booking Integrity
7.1 No Direct Deals Outside the Platform
A non‑circumvention clause is a contractual provision intended to prevent one party from
bypassing another to engage directly with third parties. To protect our business, you agree that
once a Customer and Service Provider connect through the Platform, both parties shall not
circumvent or attempt to circumvent Eki by arranging or completing bookings or payments
for the same or similar services outside the Platform.
Specifically:
● The non‑circumvention obligation applies during your active use of the Platform and
for 12 months after the last booking between the Customer and Service Provider.

● You agree not to communicate contact details (e.g., phone number,
email, address) for the purpose of bypassing the Platform’s booking
and payment system.

● You agree not to accept or request payments outside the Platform for services
discovered via Eki.

● If you wish to contract directly outside the Platform, you may submit a written request to
Eki. Eki may release you from this obligation at its sole discretion and may charge a
release fee equal to the platform fee or other amount.

7.2 Consequences of Circumvention
If Eki determines that a Customer or Service Provider has circumvented or attempted to
circumvent the Platform:
1. We may charge the Service Provider and/or Customer a penalty equal to the
commission or fee that Eki would have earned had the transaction been completed on
the Platform, plus any applicable taxes and costs of enforcement. Non‑circumvention
clauses often provide for payment of a legal monetary penalty equal to the fee the
circumvented party should have realized.

2. We may suspend or terminate the accounts of the parties involved. Termination clauses
help marketplaces maintain control.

3. We may take legal action to recover amounts owed and seek injunctive relief. You agree
that monetary damages may not be a sufficient remedy for violation of this clause.

Eki invests significant resources in marketing, platform development and support.
Circumvention diminishes our ability to provide services. Enforcement of this clause ensures
equitable dealings.
8. Prohibited Uses

Home

Eki strives to maintain a safe and trustworthy platform. You agree not to:
1. Use the Platform for any unlawful purpose, or to recruit or solicit
users for illegal activities.

2. Violate any local, state, national or international law.

3. Commit fraud or misrepresentation (e.g., misrepresent your identity, pricing,
qualifications or ability to perform a service).

4. Circumvent or attempt to circumvent Eki’s payment system or platform fees.

5. Post or transmit any content that is defamatory, abusive, racist, sexist, obscene or
otherwise objectionable.

6. Engage in harassment or discrimination.

7. Interfere with or disrupt the Platform, servers or networks connected to the Platform.

8. Introduce malware, viruses or any other harmful code.

9. Collect or harvest information about other users for the purpose of spam or phishing.

10. Use the Platform to promote a competing service or to solicit Service Providers or
Customers away from Eki.

11. Copy, reproduce, modify or distribute any part of the Platform without our express
permission.

Prohibited‑use clauses help set clear rules for using a marketplace.
9. Intellectual Property

All content, trademarks, logos, software, text, graphics and other materials
available on the Platform (collectively, “Eki Content”) are owned by Eki or
its licensors and are protected by intellectual‑property laws. Subject to
your compliance with these Terms, Eki grants you a limited,
non‑exclusive, non‑transferable, revocable licence to access and use the Platform for your
personal or business use. You may not reproduce, modify, distribute or create derivative works
from Eki Content without prior written consent.
You retain ownership of content you submit or post (e.g., descriptions, photos, reviews). By
posting content, you grant Eki a worldwide, royalty‑free, perpetual licence to use, display,
reproduce and distribute your content in connection with operating and promoting the Platform.
You warrant that you have all rights necessary to grant this licence and that your content does
not infringe any third‑party rights.
10. Ratings and Reviews
Customers may rate and review Service Providers after completing a booking. Reviews must be
honest, respectful and based on actual experiences. Eki may remove reviews that violate these
Terms or applicable law. Service Providers may not manipulate ratings or threaten Customers
to leave positive reviews. Reviews are visible to other users and may impact a Service
Provider’s ranking on the Platform.
11. Disclaimers;
Eki provides the Platform “as is” and “as available.” We make no warranties or
representations of any kind, express or implied, regarding the services offered by Service
Providers, including but not limited to warranties of quality, fitness for a particular purpose or
non‑infringement. A disclaimer of warranties and limitation of liability clause can help protect
marketplaces from liability for inaccurate content or service downtime. To the maximum extent
permitted by law, Eki disclaims all warranties with respect to the Platform and the services
provided by Service Providers.
While we strive to verify Service Providers and maintain a safe environment, we do not
guarantee that Service Providers are licensed, insured or qualified. You use the Platform at your
own risk. Eki is not responsible for personal injury, property damage or other harm resulting
from interactions between users.

12. Limitation of Liability
To the maximum extent permitted by law, Eki and its affiliates, officers,
directors, employees and agents will not be liable for any indirect,
incidental, punitive, special, or consequential damages, including loss of profits, revenue, data
or goodwill, arising out of or in connection with your use of the Platform, even if we have been
advised of the possibility of such damages. Our total liability to you for any claim arising out of or
relating to the Platform or these Terms will not exceed the greater of (a) the total amount of
platform fees we received from you in the twelve months preceding the claim or (b) USD 100.
Some jurisdictions do not allow certain limitations, so the above may not apply to you.
13. Indemnification
You agree to indemnify, defend and hold harmless Eki and its affiliates, directors, officers,
employees, contractors and agents from and against any claims, damages, obligations, losses,
liabilities, costs or debt and expenses (including reasonable attorneys’ fees) arising from: (a)
your use of and access to the Platform; (b) your violation of any term of these Terms; (c) your
violation of any third‑party right, including any intellectual property right or privacy right; (d) your
provision of services (for Service Providers) or receipt of services (for Customers); or (e) your
wilful misconduct or gross negligence.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of Rwanda, without regard to its conflict‑of‑law
principles, unless mandatory consumer protection laws of another jurisdiction apply. Any dispute
or claim relating to these Terms or the Platform will first be attempted to be resolved informally
by contacting us at support@eki.digital . If we are unable to reach an informal resolution within
30 days, the dispute shall be finally settled by binding arbitration under the rules of the
[arbitration institution] in Kigali, Rwanda. Each party will bear its own costs unless otherwise
determined by the arbitrator. This clause does not preclude either party from seeking injunctive
relief in a court of competent jurisdiction.
15. Termination
We may, at our sole discretion, suspend or terminate your account and access to the Platform
at any time, with or without cause. Reasons may include breach of these Terms, non‑payment,

fraud, abusive behaviour, or attempts to circumvent the platform.
Termination clauses help marketplaces maintain control of their platforms.
Upon termination, any pending transactions may be cancelled and we may
withhold funds if required by law or to satisfy obligations under these
Terms. You may close your account at any time by contacting us; however, certain obligations
(e.g., payment of fees owed, non‑circumvention) will survive termination.
16. Changes to the Terms
We may revise these Terms from time to time. When we do, we will post the revised Terms on
our website and update the “Last updated” date. We will provide notice of material changes
(e.g., via email or notice on the Platform). Your continued use of the Platform after the changes
become effective constitutes your acceptance of the revised Terms. If you do not accept the
new Terms, you must stop using the Platform.
17. Miscellaneous
1. Severability. If any provision of these Terms is held to be invalid or unenforceable, that
provision will be enforced to the maximum extent permissible, and the remaining
provisions will remain in full force.

2. Assignment. You may not assign or transfer your rights or obligations under these
Terms without our prior written consent. We may assign our rights and obligations to an
affiliate or in connection with a merger, acquisition or sale of assets.

3. No waiver. Our failure to enforce any right or provision of these Terms will not be
deemed a waiver of such right or provision.

4. Entire agreement. These Terms constitute the entire agreement between you and Eki
with respect to the Platform and supersede all prior agreements or understandings.

5. Force majeure. We will not be liable for any delay or failure to perform resulting from
causes outside our reasonable control (including acts of God, natural disasters, war,
terrorism, labour disputes, government actions, internet outages or power failures).
